1. Definitions
"We," "Us," "Our" refers to Parallect, a business operating in Thailand providing AI implementation services.
"You," "Your," "Client" refers to the individual or organization accessing our website or engaging our services.
"Services" refers to AI Literacy Workshops, Educational AI Integration Consulting, Custom AI Solution Development, and related professional services.
"Agreement" refers to these Terms and Conditions together with any service-specific agreements.
"Website" refers to parales.pro and all associated web properties.
2. Acceptance of Terms
By accessing our website, engaging our services, or communicating with us, you agree to be bound by these Terms and Conditions. If you do not agree to these terms, you should not use our services or website.
These terms constitute a legally binding agreement between you and Parallect. By engaging our services, you confirm that you have the authority to enter into this agreement on behalf of yourself or your organization.
3. Eligibility
Our services are intended for organizations and individuals aged 18 years or older. By using our services, you represent and warrant that you are at least 18 years of age and have the legal capacity to enter into binding contracts.
If you are entering into this agreement on behalf of an organization, you represent that you have the authority to bind that organization to these terms.
4. Services Description
4.1 AI Literacy Workshops
Structured educational programs conducted over 2-3 days covering fundamental AI concepts, practical applications, and ethical considerations. Workshops are customized to your industry context and delivered either on-site or remotely as agreed.
4.2 Educational AI Integration Consulting
Consulting engagements spanning 4-6 weeks for educational institutions and training organizations. Services include workflow assessment, tool evaluation and recommendations, implementation planning, and faculty orientation sessions.
4.3 Custom AI Solution Development
End-to-end development of tailored AI solutions over 10-16 weeks. Includes requirements gathering, data assessment, development, testing, integration, documentation, training, and 30 days of post-deployment support.
Specific deliverables, timelines, and scope for each engagement will be detailed in service-specific agreements or statements of work.
5. Service Engagement Process
Service engagements typically follow this process: Initial consultation to understand your needs and objectives; proposal outlining scope, deliverables, timeline, and pricing; formal agreement upon mutual acceptance of proposal terms; service delivery according to agreed schedule; completion review and knowledge transfer; post-engagement support as specified in service agreement.
Either party may decline to proceed after the initial consultation without obligation.
6. Fees and Payment
6.1 Pricing
Service fees are stated in Thai Baht and specified in service agreements. Prices shown on our website are current at the time of publication but may be adjusted. The price agreed upon in your service contract will be honored regardless of subsequent changes to published pricing.
6.2 Payment Terms
Payment schedules vary by service type and will be specified in your service agreement. Typical arrangements include: workshops require 50% deposit upon booking and 50% upon completion; consulting engagements split into milestone-based payments; custom development projects use phased payment structure aligned with project stages.
6.3 Late Payment
Invoices are due within 30 days unless otherwise specified. Late payments may incur interest charges of 1.5% per month or the maximum rate permitted by Thai law, whichever is lower. We reserve the right to suspend services for accounts with overdue balances exceeding 30 days.
6.4 Taxes
All fees are exclusive of applicable taxes unless stated otherwise. You are responsible for all taxes, duties, and levies associated with the services, excluding taxes on our income.
7. Cancellation and Refund Policy
7.1 Client Cancellation
Workshops: Cancellations more than 14 days before the scheduled start date receive a full refund. Cancellations 7-14 days before start date receive 50% refund. Cancellations less than 7 days before start date forfeit the deposit.
Consulting and custom development: Clients may terminate with 14 days written notice. Payment is due for work completed to the termination date based on agreed milestone schedule.
7.2 Our Right to Terminate
We may terminate services with written notice if: payment obligations are not met after reasonable notice period; you violate these terms and do not remedy the violation within 14 days of notification; continuation of services becomes commercially impractical due to circumstances beyond our control.
8. Intellectual Property Rights
8.1 Our Intellectual Property
All content on our website, including text, graphics, logos, and software, is our property or licensed to us and protected by Thai and international intellectual property laws. You may not reproduce, distribute, or create derivative works without our written permission.
8.2 Service Deliverables
For workshops and consulting: educational materials and recommendations provided become your property upon full payment, subject to restrictions on redistribution or commercial use.
For custom development: you receive full rights to custom solutions developed specifically for you, including source code and documentation, upon final payment. We retain rights to general methodologies and frameworks used in development.
8.3 Your Materials
You retain ownership of all materials, data, and information you provide to us. By sharing such materials, you grant us a limited license to use them solely for delivering the contracted services.
9. Confidentiality
Both parties agree to maintain confidentiality of proprietary information shared during the service relationship. This includes: your business strategies, workflows, and sensitive organizational information; our methodologies, tools, and proprietary processes; any information marked as confidential.
Confidentiality obligations survive termination of services for a period of 3 years. Exceptions include information that becomes publicly available through no fault of the receiving party, or disclosure required by law.
10. Warranties and Disclaimers
10.1 Our Warranties
We warrant that: services will be performed with reasonable skill and care consistent with industry standards; we have the necessary expertise and authority to provide the services; custom solutions will perform substantially as specified in documentation.
10.2 Disclaimers
Except as expressly stated above, services are provided "as is" without warranties of any kind, express or implied. We specifically disclaim: warranties of merchantability or fitness for particular purpose; guarantees of specific business outcomes or results from AI implementation; warranties that AI tools or implementations will be error-free or uninterrupted.
AI technology inherently involves uncertainty and limitations. We provide professional guidance based on current understanding but cannot guarantee specific outcomes from AI system implementations.
11. Limitation of Liability
To the maximum extent permitted by Thai law, our total liability for any claims arising from services provided shall not exceed the fees paid by you for the specific service giving rise to the claim.
We shall not be liable for: indirect, incidental, special, consequential, or punitive damages; loss of profits, revenue, data, or business opportunities; costs of substitute services; damages arising from your use or inability to use services or deliverables.
These limitations apply regardless of the legal theory of liability and even if we have been advised of the possibility of such damages. Some jurisdictions do not allow limitation of certain damages, so these limitations may not apply to you.
12. Indemnification
You agree to indemnify and hold harmless Parallect, its employees, and contractors from any claims, damages, losses, or expenses (including reasonable legal fees) arising from: your use of our services; your violation of these terms; your violation of any third-party rights; content or data you provide to us; your implementation or use of AI systems following our consulting or development work.
13. Dispute Resolution
13.1 Governing Law
These Terms and Conditions are governed by the laws of Thailand. Any disputes shall be subject to the exclusive jurisdiction of the courts of Bangkok, Thailand.
13.2 Informal Resolution
Before initiating formal proceedings, parties agree to attempt good-faith negotiation to resolve disputes. Either party may initiate this process by providing written notice of the dispute to the other party.
13.3 Mediation
If negotiation does not resolve the dispute within 30 days, parties agree to attempt mediation through a mutually agreed mediator in Bangkok before pursuing litigation.
14. General Provisions
14.1 Entire Agreement
These Terms and Conditions, together with any service-specific agreements, constitute the entire agreement between parties and supersede all prior understandings or agreements.
14.2 Severability
If any provision of these terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary so that the remaining terms remain in full force and effect.
14.3 Waiver
Our failure to enforce any right or provision of these terms shall not constitute a waiver of such right or provision unless acknowledged and agreed to in writing.
14.4 Assignment
You may not assign or transfer your rights or obligations under these terms without our written consent. We may assign our rights and obligations without restriction.
14.5 Force Majeure
Neither party shall be liable for failure to perform obligations due to circumstances beyond reasonable control, including natural disasters, government actions, pandemics, or communication network failures. Affected party must notify the other party promptly and make reasonable efforts to resume performance.
15. Changes to Terms
We reserve the right to modify these Terms and Conditions at any time. Changes will be effective immediately upon posting to our website. We will update the "Last Updated" date at the top of this document.
For existing service agreements, changes to terms will not apply retroactively. Continued use of our website or services after changes constitutes acceptance of the modified terms.
Material changes will be communicated via email to clients with active service relationships.
